On July 14, 2026, the Reserve Bank of India issued draft amendment directions to streamline the approval process for subsequent acquisitions of major shareholding in banking companies by mutual funds, insurance companies, and pension funds. The draft invited public and stakeholder feedback until August 4, 2026. The proposals aimed to reduce regulatory hurdles for these institutional investors seeking to increase their stakes in banks.

Feedback received on the draft amendments was reviewed, and modifications were incorporated into the final directions. The Reserve Bank examined the responses from regulated entities and other stakeholders to refine the proposed changes. A detailed statement on the feedback received is included in the annexure of the final notification.

The Reserve Bank issued four final amendment directions on August 4, 2026, which came into immediate effect. These include directions for commercial banks, small finance banks, payments banks, and local area banks, each titled accordingly. The amendments specifically address the acquisition and holding of shares or voting rights in these banking institutions.

The final directions simplify the approval process for subsequent acquisitions of major shareholding by mutual funds, insurance companies, and pension funds. This change is expected to facilitate smoother and faster stake increases by these institutional investors in banking entities, subject to compliance with regulatory norms.
